Vendor Agreement


GRIZPY3 VENDOR ONBOARDING AGREEMENT & ACKNOWLEDGEMENT

Welcome to Grizpy3

Thank you for showing interest in partnering with Grizpy3 – India's Dedicated Marketplace for Certified Organic, Sustainable, Eco-Friendly, Recyclable, Non-Toxic and Wellness Products.

By joining Grizpy3, you are contributing towards a healthier and more conscious ecosystem while helping customers discover trusted organic and sustainable products from across India.

We look forward to building a long-term and mutually beneficial relationship with your brand.


Vendor Acknowledgement

1. Category & Commission Structure

Your products will be classified under the most relevant category and sub-category on the Grizpy3 platform.

Based on the approved category, Grizpy3 shall charge a commission of  __% on successful sales, excluding applicable GST.


2. Payout Schedule

Vendor payouts shall be processed on:

  • 15th of every month

  • 30th of every month

A minimum settlement cycle of up to 15 days from successful delivery may apply.

Payments shall be made through NEFT or other approved banking channels.


3. Warehousing & Logistics

Grizpy3 has partnered with LOGISTOS, our logistics and warehousing partner, to facilitate efficient inventory management and faster deliveries.

We strongly encourage vendors to maintain inventory at our designated warehouse to improve customer experience and reduce delivery timelines.

4. Vendor Fulfilled Orders

Vendors who choose not to stock products at the Grizpy3 warehouse must ensure:

  • Product availability at all times.

  • No stock-out situations.

  • Goods are dispatched within a maximum of 2 working days from order confirmation.

  • Products are shipped to the designated Grizpy3 warehouse for order consolidation and final dispatch.


5. Price Parity Policy

Vendors are required to maintain consistent MRP pricing across:

  • Their own website

  • Online marketplaces

  • Offline retail channels

  • Distributor networks

In the event of genuine customer complaints regarding significant price disparities, Grizpy3 reserves the right to:

  • Refund the difference amount to the customer.

  • Review the vendor's performance record.

  • Apply internal vendor demerits where necessary.


6. Packaging & Dispatch Responsibility

Vendors are encouraged to:

  • Pack products under CCTV or surveillance systems.

  • Use tamper-proof packaging.

  • Apply company branding wherever possible.

  • Ensure products are adequately protected during transit.

Grizpy3 shall not be responsible for product damage arising from inadequate vendor-side packaging.


7. Product Listing & Shelf Life Requirements

Grizpy3 currently offers free SKU listing benefits to eligible vendors.

Vendors are requested to:

  • Upload products with reasonable market demand.

  • Ensure products have adequate shelf life.

  • Maintain updated product information.

Slow-moving products, inactive listings, or products with repeated stock issues may be reviewed and delisted after approximately 90 days.


8. Inventory Management

Each vendor will have access to a dedicated Seller Dashboard for:

  • Inventory Management

  • Stock Updates

  • Order Tracking

  • Performance Analytics

Vendors are responsible for maintaining accurate stock quantities.

Orders cancelled due to stock unavailability may attract:

  • 3.5% administrative charge

  • Shipping charges at actuals

  • Repeated stock-outs may affect account performance ratings.


9. Transit Insurance

Products shipped to the Grizpy3 warehouse through approved logistics channels may be covered as per the logistics partner's applicable insurance and liability policies.

Claims shall be governed by the logistics provider's terms and conditions.


10. Product Accuracy & Customer Returns

Customers reserve the right to return products in cases including but not limited to:

  • Quality issues

  • Wrong product delivered

  • Incorrect specifications

  • Incorrect size

  • Incorrect weight

  • Incorrect quantity

  • Misleading descriptions

  • Shelf-life discrepancies

  • Product benefits differing substantially from product claims

Vendors are responsible for ensuring complete accuracy of all product information uploaded to the platform.


11. Recommended Shelf Life

To ensure customer satisfaction and efficient inventory turnover, vendors are encouraged to stock products with a minimum remaining shelf life of 3–4 months wherever applicable.


12. Shipping Rate Calculator

Grizpy3 provides a built-in Shipping Rate Calculator within the Seller Dashboard.

This tool enables vendors to estimate shipping costs before dispatching inventory to the warehouse by considering:

  • Origin PIN Code

  • Destination PIN Code

  • Actual Weight

  • Volumetric Weight

This helps vendors optimize packaging and logistics costs.


13. Pricing Strategy & Promotional Campaigns

Vendors should consider Grizpy3 commissions while determining their MRP.

Throughout the year, Grizpy3 may conduct:

  • Festival Campaigns

  • Seasonal Sales

  • Influencer Collaborations

  • Flash Sales

  • Coupon Campaigns

  • Deal of the Day Promotions

We encourage vendors to participate in promotional activities, which may involve discounts typically ranging between 5% and 10%.

Participation remains optional unless mutually agreed otherwise.


14. Affiliate Marketing Opportunities

Vendors may choose to make selected products available for affiliate marketing programs.

Vendors retain flexibility to define affiliate commission percentages on a product-by-product basis.


15. Brand Promotion Opportunities

Grizpy3 offers multiple growth and branding opportunities including:

  • Dedicated Brand Stores

  • Follow Our Brand Pages

  • Homepage Banner Promotions

  • Category Banner Placements

  • Featured Product Listings

  • Influencer Marketing Campaigns

  • Search Visibility Enhancements

  • Keyword-Based Product Promotion

16. Referral Program

We value referrals and believe that strong communities build strong marketplaces.

Vendors introducing verified organic and sustainable brands to Grizpy3 may be eligible for benefits such as:

  • Promotional support

  • Featured product visibility

  • Marketing assistance

  • Preferential campaign participation

  • Commission incentives (subject to review and approval)

17. Vendor Certifications & Authenticity Declaration:

The vendor confirms that all certifications, licenses, organic claims, sustainability claims, and product-related documents submitted to Grizpy3 are genuine, valid, and up to date. Any misrepresentation may result in immediate suspension or removal from the platform.
